Shopify App Terms of Service

These Terms of Service ("Terms") govern your use of the ResponsiveWorks Integration Hub ("Service"). By installing or using the Service, you agree to be bound by these Terms.

ResponsiveWorks Integration Hub provides data synchronization services between e-commerce platforms (such as Shopify) and Enterprise Resource Planning (ERP) systems (such as NetSuite). The Service includes:

• Order synchronization from your store to your ERP
• Product catalog synchronization
• Inventory level updates
• Fulfillment and tracking information sync
• Scheduled and on-demand sync operations

Authorization

By installing the Service, you authorize us to access your Shopify store data as outlined in our Privacy Policy. You represent that you have the authority to grant such access.

Account Security

You are responsible for:

• Maintaining the security of your account credentials
• Ensuring appropriate access controls within your organization
• Notifying us immediately of any unauthorized access

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to transmit any unlawful, fraudulent, or harmful content
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer or attempt to extract source code from the Service
• Use the Service to process data you do not have rights to process
• Exceed reasonable usage limits or abuse API access

Your Data

You retain all ownership rights to your data. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the integration services.

Data Accuracy

You are responsible for the accuracy and quality of data you provide. We are not responsible for errors resulting from inaccurate source data.

ERP Configuration

You are responsible for correctly configuring your ERP connection settings, including credentials, location mappings, and field configurations.

We strive to maintain high availability of the Service. However:

• The Service may be temporarily unavailable for maintenance or updates
• We do not guarantee uninterrupted or error-free operation
• Third-party services (Shopify, NetSuite) have their own availability and limitations
• Sync operations depend on the availability and response times of connected platforms

Service fees, if applicable, will be communicated separately in your service agreement. Payment terms include:

• Fees are billed according to your service plan
• Prices may change with 30 days notice
• Failure to pay may result in service suspension

The Service, including its design, features, and content, is owned by ResponsiveWorks and protected by intellectual property laws. You may not:

• Copy, modify, or distribute the Service
• Use our trademarks without permission
• Remove any proprietary notices from the Service

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE PRECEDING 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR ERRORS IN DATA SYNCHRONIZATION RESULTING FROM THIRD-PARTY SERVICE FAILURES OR CONFIGURATION ERRORS

You agree to indemnify and hold harmless ResponsiveWorks from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Data you process through the Service

By You

You may terminate your use of the Service at any time by uninstalling the app from your Shopify store.

By Us

We may suspend or terminate your access to the Service:

• For violation of these Terms
• For non-payment of fees
• If required by law
• If we discontinue the Service (with reasonable notice)

Effect of Termination

Upon termination, your data will be deleted in accordance with our Privacy Policy. Provisions that by their nature should survive termination will remain in effect.

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Providing notice through the Service interface

Continued use of the Service after changes constitutes acceptance of the modified Terms.

These Terms are governed by the laws of the jurisdiction in which ResponsiveWorks is incorporated, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
